The terms on which we supply goods and services through this website.
Agreement
These terms govern your use of www.modotechnologies.com and any purchase of goods or services from ModoSmart Technologies LLC. By using this website or placing an order you accept them.
We may change these terms. The version published on this page at the time you place an order is the version that applies to that order.
Restricted countries
www.modotechnologies.com will NOT deal or provide any services or products to any of OFAC (Office of Foreign Assets Control) sanctions countries in accordance with the law of UAE.
We may refuse or cancel any order where we believe accepting it would breach a sanctions or export-control restriction, and we will refund it in full.
Governing law
Any purchase, dispute or claim arising out of or in connection with this website shall be governed and construed in accordance with the laws of UAE.
The courts of Dubai, United Arab Emirates have exclusive jurisdiction.
Eligibility
You must be at least 18 years old and able to enter into a binding contract. Where you order on behalf of a company, you confirm you are authorised to bind it.
Orders and acceptance
Your order is an offer to buy. A contract is formed only when we confirm the order in writing, or — for project work — when both parties have signed a quotation or work order.
We may decline an order where the item is unavailable, where the price or description was wrong, or where we cannot verify the payment or the delivery address.
Goods
Goods are supplied with the manufacturer's warranty. Warranty terms, duration and the claims process are set by the manufacturer and are passed through to you unchanged.
Product images and specifications are provided by the manufacturer and are indicative. Colours and finishes may vary from what your screen shows.
Services and project work
Design, installation, integration and commissioning are supplied on the basis of the accepted quotation, its scope of work and its payment schedule. Where those documents and these terms disagree, the signed quotation prevails.
Programme dates are estimates and depend on site readiness, third-party trades, and the supply of equipment. We will tell you promptly if a date is going to move.
Work outside the agreed scope is chargeable and is agreed in writing as a variation before it is carried out.
Your responsibilities on site
Where we work at your premises you agree to give us safe and timely access, a suitable power supply, and a secure place to store equipment. Delays or damage caused by site conditions outside our control are not our responsibility.
Liability
Nothing in these terms excludes liability that cannot lawfully be excluded, including for death or personal injury caused by our negligence, or for fraud.
Subject to that, our total liability in connection with an order is limited to the amount you paid for it, and we are not liable for loss of profit, loss of business or any indirect or consequential loss.
Intellectual property
All content on this website — text, images, designs, drawings and marks — belongs to Modo or its licensors and may not be copied or reused without written permission.
Force majeure
We are not responsible for a delay or failure caused by something beyond our reasonable control, including supply-chain interruption, customs action, extreme weather, or the act of a government authority.
